Novaflow — Terms of Service
Effective July 20, 2026
These Terms of Service ("Terms") form a binding agreement between you and Novaflow, Inc., a Delaware corporation ("Novaflow," "we," "us," or "our"), and govern your access to and use of the Novaflow platform, the website at app.novaflow.ai, our application programming interfaces ("APIs"), and any related software, documentation, and services we make available (together, the "Service").
By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you confirm that you have read and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Service.
Please read Section 18 carefully. It requires most disputes to be resolved through individual, binding arbitration and waives your right to a jury trial and to participate in class or representative actions, unless you opt out within the window described there.
If you are entering into these Terms on behalf of a company, lab, university, or other organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization. If your organization has signed a separate written agreement with us covering the Service (an "Enterprise Agreement"), that agreement — not these Terms — governs your use to the extent of any conflict.
1. The Novaflow Service
Novaflow provides an AI-assisted platform for biological and biomedical research. Through natural-language instructions, the Service helps you run bioinformatics and computational-biology workflows — for example, analyzing sequencing and single-cell data, querying public reference databases, and generating and executing analysis code in managed compute environments — and returns summaries, figures, code, and other results.
The Service is a research and productivity tool. It is not a medical device, is not intended for clinical decision-making, and is not a substitute for the judgment of a qualified researcher or licensed professional. See Sections 8 and 15.
We may add, change, or remove features, and may set or adjust usage limits, at any time. Some capabilities may be offered only on a paid or subscription basis.
2. Eligibility
To use the Service you must be at least 18 years old (or the age of legal majority where you live, if higher) and able to form a binding contract with us. You may use the Service only in compliance with these Terms and with all applicable laws and regulations. The Service is not available to anyone we have previously suspended or removed.
3. Accounts
3.1 Account types. We offer individual accounts (for personal or independent research use), team or organizational accounts (for use on behalf of an employer, lab, or institution), and enterprise accounts governed by an Enterprise Agreement. Register an individual account with your personal email; register an organizational or enterprise account with the email your organization issued you.
3.2 Accounts used on behalf of an organization. If you use the Service with an organization's email, or your organization pays for or reimburses your use, we may treat your use as being on behalf of that organization, and that organization is responsible for your activity and for ensuring its users comply with these Terms. Administrators on an organizational account may access, manage, and view activity, settings, and billing for the accounts under it, and your access may end if you stop being associated with that organization.
3.3 Account security. You are responsible for everything that happens under your account. Keep your credentials confidential, use a strong password, do not share access, and tell us promptly at support@novaflow.ai if you suspect unauthorized use. We are not liable for losses arising from unauthorized use of your account that results from your failure to safeguard your credentials.
3.4 Suspension and closure. You may close your account at any time. We may suspend or terminate access — with or without notice — if you violate these Terms, if we reasonably believe your use creates risk or legal exposure, or as otherwise described in Section 14.
4. Acceptable Use
You agree not to, and not to permit anyone else to:
- 1) Use the Service in violation of any law, regulation, or third-party right, including intellectual property, privacy, and confidentiality rights.
- 2) Reverse engineer, decompile, or otherwise attempt to derive the source code, models, weights, prompts, or training data underlying the Service, except where that restriction is prohibited by law.
- 3) Copy, resell, sublicense, rent, lease, or distribute the Service, or use it to build or train a competing product or service.
- 4) Access the Service through automated scraping or other means not provided or authorized by us, or circumvent any access, rate, or security controls.
- 5) Interfere with, overload, or disrupt the Service or the infrastructure that supports it, or attempt to gain unauthorized access to any system or data.
- 6) Introduce malware or other harmful code, or transmit spam or unsolicited communications through the Service.
- 7) Use the Service to generate or process content that is unlawful, harassing, defamatory, hateful, or that depicts or facilitates harm.
- 8) Use the Service for any safety-critical or high-risk purpose where failure could lead to death, personal injury, or serious physical or environmental damage.
- 9) Misrepresent your affiliation with us, or use our name or marks in a way that implies endorsement or partnership without our written permission.
You also agree not to publish benchmark or performance results about the Service without our prior written consent.
5. Your Data and Content
5.1 What it covers. "Your Content" means the data, files, datasets, prompts, instructions, and other materials you submit to the Service (your "Inputs"), together with the results the Service generates for you from them (your "Outputs"). For genomic and other research data you upload, "Your Content" includes those datasets.
5.2 You own it. As between you and us, you (or your licensors) own Your Content. We claim no ownership of it.
5.3 The license you give us — and its limits. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derived results from Your Content solely to operate, secure, and provide the Service to you and your organization, and as needed to comply with law. We do not sell or rent Your Content, and we do not use Your Content to train, fine-tune, or develop foundation models, large language models, or other machine-learning systems, except with your direction or consent. We may generate and use aggregated, de-identified statistics that do not identify you or Your Content to operate and improve the Service.
5.4 Your responsibilities. You represent that you have all rights and permissions needed to submit Your Content and to allow the processing described here, that doing so does not violate any law or third-party right, and that Your Content does not contain material prohibited under Section 9. You are solely responsible for Your Content and for backing up anything you cannot afford to lose; we are not a system of record.
6. How the Platform Handles Your Data
So that you can reason about where your data goes, here is how the Service is designed to operate:
Large research datasets you upload (for example, sequencing reads or single-cell matrices) are stored in managed cloud storage and made available to isolated compute environments that run analysis on your behalf. By design, these large files are never loaded whole into the underlying language model's context; head-sample rows of uploaded datasets may be included in model context to plan analyses or answer questions. The Service generates analysis code that runs against your data in a sandboxed environment, and derived results — such as summaries, metrics, figures, and the code itself — are returned and may be processed by the model to assist you.
This design reduces, but does not eliminate, the movement of your underlying data, and it does not change your responsibilities under Section 9 regarding what you are permitted to upload. We describe our security practices, sub-processors, and data-handling commitments in more detail in our Privacy Policy. No method of storage or transmission is perfectly secure, and you acknowledge that you provide data at your own risk.
7. Third-Party Models, Databases, Tools, and Services
7.1 Third-party AI providers. The Service relies on third-party model providers to deliver some of its capabilities. Your use of those capabilities may be subject to the providers' own terms and policies, and we are not responsible for their acts or omissions.
7.2 Licensed and public data sources. The Service may give you access to public reference databases and to proprietary datasets, tools, or resources licensed to us by third parties ("Licensed Materials"). Where Licensed Materials are made available, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use them within the Service in accordance with the underlying license, solely under your own account. The third-party owners retain all rights in their materials. If you need rights beyond what the Service provides, you must obtain them directly from the rights holder.
7.3 Other third-party services. The Service may link to or integrate with services we do not control. Your use of them is governed by their terms, and you use them at your own risk. We do not endorse and are not responsible for third-party services.
8. AI Outputs
Outputs are produced by automated systems and may be inaccurate, incomplete, or out of date, and may be similar to results provided to others. You are responsible for reviewing and validating any Output before relying on it, including through appropriate scientific and human review. Outputs are not medical, clinical, diagnostic, legal, or other professional advice, and must not be used as the sole basis for any clinical, diagnostic, or treatment decision.
As between you and us, you own Your Outputs, except for any Licensed Materials or our pre-existing intellectual property they incorporate, and we assign to you whatever interest we may have in Your Outputs. You grant us the limited license in Section 5.3 to handle Your Outputs as part of providing the Service.
9. Sensitive and Regulated Data
The standard Service is not configured for regulated health information or other high-sensitivity personal data. Unless you have a separate written agreement with us (such as an Enterprise Agreement or, where applicable, a Business Associate Agreement) that expressly permits it, you must not upload or process through the Service:
- 1) Identifiable protected health information, medical records, or other individually identifiable health data.
- 2) Identifiable human genetic, genomic, or biometric data linkable to a specific individual.
- 3) Government-issued identifiers, financial-account or payment-card data, or account credentials.
- 4) Personal data of individuals under 16.
- 5) Other categories treated as "sensitive" or "special" under applicable law.
De-identified or anonymized research data, handled in accordance with applicable law, is permitted. You are responsible for obtaining any consents or approvals (including IRB or ethics-committee approvals) required for the data you use. If you need to work with regulated or identifiable human data, contact us at support@novaflow.ai to discuss an appropriate agreement before uploading it.
10. Intellectual Property
The Service, and all software, models, algorithms, interfaces, content, and other materials we provide (other than Your Content and Licensed Materials), are owned by us or our licensors and are protected by intellectual-property laws. We grant you only the limited right to use the Service described in these Terms, and reserve all other rights. You may not use our name, logos, or marks without permission.
Feedback. If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you, and you agree we may treat it as non-confidential.
11. Confidentiality
You may receive non-public information about us or our other users that a reasonable person would understand to be confidential ("Confidential Information"), including non-public product, technical, security, and business information. You will protect it with at least reasonable care, use it only as needed to use the Service under these Terms, and not disclose it except to advisors or service providers bound by comparable confidentiality obligations.
12. Fees and Subscriptions
Some parts of the Service are free; others require payment ("Paid Services"). If you purchase Paid Services:
- 1) Fees are charged through our third-party payment processor in advance and, for subscriptions, renew automatically for successive terms until you cancel. We will give you advance notice before a renewal at the email on your account.
- 2) You authorize us and our processor to charge your payment method for all fees and applicable taxes. You are responsible for keeping your payment information accurate.
- 3) You may cancel at any time through your account settings or by contacting support@novaflow.ai; cancellation takes effect at the end of the current term, after which your account moves to the free tier. Except where required by law or expressly stated here, fees already paid are non-refundable.
- 4) We may change fees on at least 30 days' notice; if you do not accept a change, cancel before it takes effect. Continued use after a change takes effect means you accept it.
- 5) If we discontinue a Paid Service other than for your breach, we will refund any prepaid, unused fees on a pro-rata basis.
Free trials, promotions, and their eligibility rules are offered at our discretion and on the terms disclosed when you sign up.
13. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that we process personal information as described there, and that information may be processed in the United States.
14. Term, Suspension, and Termination
These Terms apply for as long as you use the Service. You may stop using it and close your account at any time. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your use creates risk to the Service or others, or if we are required to by law. On termination, your right to use the Service ends; Sections that by their nature should survive (including Sections 5.2, 8, 10–12, and 15–21) will survive. We may delete Your Content following termination in accordance with our Privacy Policy and retention practices — export anything you want to keep before closing your account.
15. Disclaimers
THE SERVICE AND ALL OUTPUTS AND OTHER MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. ANY MATERIAL OBTAINED THROUGH THE SERVICE IS USED AT YOUR OWN RISK.
THE SERVICE IS A RESEARCH TOOL AND DOES NOT PROVIDE MEDICAL, CLINICAL, DIAGNOSTIC, LEGAL, OR OTHER PROFESSIONAL ADVICE. DO NOT ACT OR REFRAIN FROM ACTING ON THE BASIS OF ANY OUTPUT WITHOUT INDEPENDENT VERIFICATION AND, WHERE APPROPRIATE, THE ADVICE OF A QUALIFIED PROFESSIONAL. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER NOVAFLOW NOR ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS (THE "NOVAFLOW PARTIES"), WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR RESEARCH RESULTS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE NOVAFLOW PARTIES' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND TO THE FULLEST EXTENT PERMITTED BY LAW; SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
17. Indemnification
You will defend, indemnify, and hold the Novaflow Parties harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms or any law; (d) your violation of any third-party right; or (e) anyone else's use of the Service through your account.
18. Dispute Resolution; Arbitration; Class Waiver
18.1 Informal resolution first. If you have a dispute with us, contact us at support@novaflow.ai and we will try to resolve it informally. If we cannot resolve it within 60 days, either party may begin arbitration as described below.
18.2 Binding arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its applicable rules, before a single arbitrator. The arbitration will take place in the county where you live or in California, unless we agree otherwise, and may be conducted by written submissions, telephone, or video where the rules allow. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
18.3 Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@novaflow.ai with your full legal name and a statement that you opt out. Opting out does not affect the rest of these Terms.
18.4 Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Nothing here prevents either party from seeking injunctive or other equitable relief in court to protect its intellectual property, confidential information, or data security.
18.5 Class-action and jury-trial waiver. YOU AND NOVAFLOW EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims may be arbitrated only on an individual basis. If this waiver is found unenforceable as to a particular claim, that claim will be severed and may proceed in court, while all other claims remain in arbitration.
18.6 Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and, for any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
19. Export Controls and Sanctions
You will comply with all applicable export-control and economic-sanctions laws, including those administered by the U.S. Department of Commerce and the U.S. Treasury's Office of Foreign Assets Control. You represent that you are not located in, or a resident of, an embargoed or sanctioned region, and that you are not on any U.S. government list of restricted parties. You will not use or export the Service in violation of these laws.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms with a new effective date and, where appropriate, by other reasonable means. Changes take effect when posted unless we say otherwise. Your continued use of the Service after changes take effect means you accept the updated Terms; if you do not agree, stop using the Service.
21. General
Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Any assignment in violation of this section is void.
Entire agreement; severability. These Terms (together with the Privacy Policy and any Enterprise Agreement) are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect.
Non-waivable consumer rights. Nothing in these Terms — including Sections 15, 16, and 18 — excludes or limits any right or remedy you have under the mandatory consumer-protection law of the place where you live that cannot be excluded or limited by contract. To the extent these Terms conflict with such a law, that law prevails for you, and those Sections apply only to the maximum extent it allows.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Force majeure. Neither party is liable for delays or failures (other than payment obligations) caused by events beyond its reasonable control.
Notices. We may provide notices to you by email or through the Service. Send notices to us at support@novaflow.ai.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
